Terms of Service

1. These terms

1.1 These terms of service ("Terms") govern your use of the AlgoDriven website at algodriven.xyz, our software platforms, mobile applications, APIs and integrations — including connections made to your AlgoDriven account through third-party AI assistants via the AlgoDriven MCP server (together, the "Services").

1.2 By accessing or using the Services, you agree to these Terms. If you are using the Services as a representative of an entity, you agree to these Terms on behalf of that entity.

1.3 If you or your organisation has a separate customer agreement, order form or subscription agreement with an AlgoDriven entity, that agreement prevails over these Terms to the extent of any inconsistency. Use of the EvalExpert Marketplace is additionally governed by our Marketplace Terms.

2. About us and how to contact us

2.1 The AlgoDriven group operates through multiple related entities globally, including AlgoDriven Limited (Hong Kong), AlgoDriven DMCC (United Arab Emirates), AlgoDriven Pty Ltd (Australia) and AlgoDriven America Inc., a Delaware corporation (United States). The entity you contract with will be identified in your customer agreement or order form.

3. Accounts and access

3.1 Some Services require an AlgoDriven account provisioned under a customer subscription. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.

3.2 Access to the Services may be suspended or ended where your organisation's subscription ends, where these Terms are breached, or where reasonably necessary to protect the security or integrity of the Services.

4. AI assistant connections (MCP server)

4.1 The AlgoDriven MCP server lets you connect your AlgoDriven account to third-party AI assistants that support the Model Context Protocol (such as Claude, ChatGPT, Cursor or applications built on Groq). The MCP server is provided by AlgoDriven America Inc., a Delaware corporation. Details are at algodriven.xyz/developers/mcp.

4.2 Any such connection authenticates with your own AlgoDriven credentials and inherits your existing access permissions; it does not extend them. The tools exposed are read-only.

4.3 When you use an AI assistant connection, the records you request are shared with the provider of that assistant so it can generate your response, as described in our Privacy Policy. Your use of the AI assistant itself is governed by that provider's own terms, and we are not responsible for the assistant's outputs. AI-generated responses are estimates and decision-support information only — not professional, financial, legal or appraisal advice — and may contain errors; verify important information in your AlgoDriven dashboard before relying on it.

4.4 AlgoDriven does not itself use the records accessed through an AI assistant connection to train AI models made generally available to third parties, except where such data has been de-identified or aggregated. Whether the provider of your AI assistant uses your conversations, or the records the assistant retrieves, for model training is determined by that provider's own terms and your settings and plan with that provider — many providers exclude training on business plans or via opt-out settings — and we encourage you to review them before connecting.

4.5 You may disconnect an AI assistant at any time through the assistant's settings or by revoking access in your AlgoDriven account.

5. Acceptable use

5.1 You must not: use the Services other than for their intended business purposes; attempt to gain unauthorised access to any account, system or data; interfere with or disrupt the Services; scrape, harvest or bulk-extract data outside documented APIs and agreed limits; reverse engineer any part of the Services except as permitted by law; or use the Services in breach of applicable law, including privacy law.

6. Intellectual property

6.1 The Services, including all software, data compilations, valuations, designs, logos and content we make available, are owned by or licensed to the AlgoDriven group and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute or create derivative works from them.

6.2 You retain ownership of the data you or your organisation submits to the Services. You grant us the rights needed to host, process and display that data in order to provide the Services, as further described in your customer agreement and our Privacy Policy.

7. Third-party services

7.1 The Services may link to or interoperate with third-party products, including DMS and CRM integrations and AI assistant providers. Third-party products are governed by their own terms, and we are not responsible for them.

8. Privacy

8.1 Our collection and handling of personal information is described in our Privacy Policy (and, for DriveExpert, the DriveExpert Privacy Policy).

9. Disclaimers

9.1 The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all implied warranties, and we do not warrant that the Services will be uninterrupted, error-free or that data (including valuations, pricing outputs and AI-generated content) will be accurate or complete. Valuations and analytics are decision-support tools, not financial advice.

9.2 Nothing in these Terms excludes rights or guarantees that cannot lawfully be excluded, including under the Australian Consumer Law where it applies.

10. Limitation of liability

10.1 To the maximum extent permitted by law, the AlgoDriven group is not liable for any indirect, incidental, special or consequential loss, loss of profits, revenue, goodwill or data arising out of or in connection with the Services, and our total aggregate liability in connection with these Terms is limited to the amounts paid by you or your organisation for the Services in the 12 months preceding the claim (or AUD $100 where no amounts were paid).

11. Changes to the Services and these Terms

11.1 We may update the Services and these Terms from time to time. The current version of these Terms will always be available at this page, with the "Last updated" date shown above. Continued use of the Services after an update constitutes acceptance of the updated Terms.

12. Governing law

12.1 Unless your customer agreement or clause 12.2 provides otherwise, these Terms are governed by and construed in accordance with the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.

12.2 The AlgoDriven MCP server (clause 4) is provided by AlgoDriven America Inc., and your use of it is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. If you or your organisation has a customer agreement with AlgoDriven America Inc. (including the AutoHub360 Terms of Use), that agreement — including its dispute-resolution provisions — governs your use of the MCP server to the extent of any inconsistency.
